DEALERWERX TERMS OF USE
Effective Date: Sept. 15, 2026 Last Updated: Sept. 15, 2026
Welcome to DealerWerx.
These Terms of Use ("Terms") govern your access to and use of the DealerWerx website, mobile applications, services, features, marketplaces, payment services, communication tools, and related services (collectively, the "Platform").
The Platform is operated by DealerWerx (2010197 ONTARIO LIMITED) ("DealerWerx," "we," "us," or "our"), subject to confirmation of the current legal entity and applicable business registration information.
By accessing, registering for, or using the Platform, creating an account, posting a listing, communicating with another user, purchasing a subscription, making or accepting an offer, purchasing an item, selling an item, using DealerWerx Consignment, using DealerWerx Safe Zone, or otherwise using any DealerWerx service, you agree to be bound by these Terms and any policies expressly incorporated into them.
If you do not agree to these Terms, you must not access or use the Platform.
These Terms apply to DealerWerx on the web, iOS, Android, and any other platform or device through which DealerWerx makes its services available.
1. ABOUT DEALERWERX
DealerWerx is a technology and marketplace platform that enables users to discover, list, advertise, buy, sell, communicate about, and otherwise transact in connection with goods and services offered through the Platform. Depending on the feature being used, DealerWerx may act solely as a technology marketplace or may provide additional services, including transaction, payment, consignment, communication, safety, or other services. Unless expressly stated otherwise for a particular service, DealerWerx is not the seller, buyer, manufacturer, distributor, owner, or agent of goods listed by users. A listing on DealerWerx does not by itself constitute a representation or warranty by DealerWerx regarding the item, seller, buyer, ownership, condition, legality, authenticity, title, value, or availability of the item. Users are responsible for conducting their own due diligence before entering into a transaction.
2. ACCEPTANCE OF THESE TERMS
By using the Platform, you acknowledge that:
- you have read and understood these Terms;
- you agree to comply with these Terms;
- you agree to comply with applicable laws and regulations;
- you have authority to enter into these Terms if you are acting on behalf of a business or other organization; and
- information you provide to DealerWerx is accurate and current.
If you are using DealerWerx on behalf of a business, you represent that you have authority to bind that business to these Terms. Certain DealerWerx features may have additional terms, conditions, disclosures, rules, or agreements. Those additional terms form part of these Terms when you use the applicable feature.
3. ELIGIBILITY
You must meet the minimum legal age and other eligibility requirements applicable to your location and the service you are using. If you are under the age required to independently enter into a legally binding agreement in your jurisdiction, you may use DealerWerx only with the involvement and authorization of a parent or legal guardian where permitted by law. DealerWerx may impose additional eligibility requirements for particular features, transactions, payment services, consignment services, or business accounts.
4. USER ACCOUNTS
Certain features require you to create an account. You agree to:
- provide accurate, complete, and current information;
- maintain the accuracy of your information;
- protect your username, password, authentication credentials, and device access;
- not share your account with unauthorized persons;
- promptly notify DealerWerx of unauthorized access or suspected account compromise; and
- accept responsibility for activity occurring through your account, except where prohibited by applicable law.
You must not create an account using false information, impersonate another person or business, or create an account for an unlawful or fraudulent purpose. DealerWerx may require additional verification information for certain services, transactions, payment activities, or fraud-prevention purposes.
5. MARKETPLACE LISTINGS
DealerWerx allows users to create and publish listings for goods and, where supported, services. A user who creates a listing is responsible for that listing. You agree that every listing you publish must:
- accurately describe the item or service;
- contain truthful and non-misleading information;
- accurately represent material defects or limitations known to you;
- use photographs or other media that accurately represent the item;
- identify relevant information requested by DealerWerx;
- comply with applicable laws;
- comply with DealerWerx listing rules and policies; and
- be for an item or service that you are legally authorized to offer.
You must not knowingly provide false, misleading, incomplete, or deceptive information. You must not list property that you do not own or have authority to sell, except where you are expressly authorized to act on behalf of the owner. For vehicles and other regulated or title-based property, you are responsible for providing accurate information concerning ownership, title, identification numbers, condition, history, liens, registration, and other legally relevant information. DealerWerx may request additional documentation or information concerning a listing.
6. PROHIBITED LISTINGS AND ACTIVITIES
You must not use DealerWerx to:
- violate any applicable law, regulation, court order, or governmental requirement;
- sell, purchase, advertise, or facilitate unlawful goods or services;
- sell stolen, counterfeit, fraudulent, or unlawfully obtained property;
- infringe another person's intellectual-property, privacy, publicity, contractual, or other rights;
- publish false, misleading, fraudulent, deceptive, or materially incomplete information;
- impersonate another person or entity;
- create fraudulent or misleading accounts;
- manipulate listings, offers, prices, reviews, ratings, or other Platform activity;
- engage in scams, fraud, money laundering, payment fraud, or other deceptive conduct;
- use DealerWerx for spam, chain letters, pyramid schemes, or unauthorized commercial solicitation;
- distribute malware, viruses, harmful code, or other technologies that may damage the Platform or another user's device;
- harass, threaten, stalk, abuse, intimidate, or discriminate against another user;
- collect another person's personal information without authorization;
- use automated systems, bots, spiders, crawlers, scrapers, or similar tools to access or collect Platform data without DealerWerx's prior written permission;
- bypass, disable, defeat, or attempt to circumvent security, authentication, access-control, rate-limiting, or other protective measures;
- interfere with the operation or security of the Platform;
- impose an unreasonable load on DealerWerx infrastructure;
- reverse engineer, decompile, disassemble, or attempt to obtain source code from the Platform except where expressly permitted by law;
- copy, reproduce, modify, distribute, sell, resell, or commercially exploit the Platform or its content without authorization;
- circumvent DealerWerx fees or transaction mechanisms;
- manipulate or abuse payment, refund, cancellation, dispute, or chargeback processes;
- use another person's payment method without authorization; or
- use DealerWerx in any manner that could harm DealerWerx, its users, partners, payment providers, or other third parties.
DealerWerx may remove or restrict any listing or activity that it reasonably believes violates these Terms, applicable law, or the integrity or safety of the Platform.
7. DEALERWERX'S ROLE IN USER TRANSACTIONS
DealerWerx facilitates interactions between users. Except where DealerWerx expressly acts as a seller, buyer, consignee, payment intermediary, or service provider for a particular transaction like Dealerwerx Consignment, DealerWerx is not a party to the underlying transaction between users. Users are responsible for:
- determining whether to transact;
- verifying the identity and authority of the other party;
- inspecting goods where appropriate;
- verifying ownership and title;
- confirming condition and specifications;
- determining the appropriate price;
- complying with applicable laws;
- completing required documentation; and
- satisfying their respective obligations under the transaction.
DealerWerx does not guarantee that another user will complete a transaction, pay an amount owed, deliver an item, accept an item, or otherwise perform as promised.
8. OFFERS, BUY NOW AND TRANSACTION COMMITMENTS
DealerWerx may provide functionality allowing users to make offers, accept offers, purchase items, use "Buy Now" functionality, or otherwise indicate an intention to transact. Where a transaction becomes legally binding, the parties may be subject to contractual obligations independently of DealerWerx. Users must not make fraudulent, fictitious, or bad-faith offers. Once an offer or purchase has been accepted or otherwise confirmed, cancellation may be restricted by the applicable transaction terms, seller terms, DealerWerx policies, or applicable law. DealerWerx may cancel, suspend, or restrict a transaction where it reasonably believes there is fraud, payment failure, a security concern, a violation of these Terms, an unlawful transaction, or another circumstance requiring intervention.
9. DEALERWERX CONSIGNMENT DealerWerx may provide a Consignment service through which eligible users may consign items through the Platform. Consignment transactions are governed by a separate DealerWerx Consignment Agreement and any other terms, disclosures, or agreements presented to the user as part of the Consignment process. By initiating or using DealerWerx Consignment, the user agrees to review and accept the applicable Consignment Agreement and agrees to be legally bound by that agreement. The Consignment Agreement governs the applicable rights, responsibilities, transaction terms, fees, payments, obligations, and other matters relating to the particular Consignment transaction. In the event of a conflict between these Terms of Use and a specific Consignment Agreement regarding the particular Consignment transaction, the applicable Consignment Agreement will govern to the extent of that conflict. Users who do not agree to the applicable Consignment Agreement must not use the DealerWerx Consignment service. DealerWerx may modify, suspend, restrict, or discontinue the Consignment service, subject to applicable law and any obligations expressly established under an applicable Consignment Agreement.
10. PAYMENTS
DealerWerx may allow users to make or receive payments through the Platform. Payment functionality may be provided by DealerWerx or by third-party payment providers. Depending on the transaction or Platform used, payments may be processed through services such as Square, Apple, Google, or other payment providers. By submitting payment information, you authorize the applicable payment provider and/or DealerWerx to process the transaction in accordance with the applicable transaction terms. You represent that:
- you are authorized to use the payment method;
- the payment information you provide is accurate;
- you will not use stolen, fraudulent, or unauthorized payment credentials; and
- you will not intentionally initiate fraudulent chargebacks or payment disputes.
A payment may be declined, reversed, delayed, held, or otherwise restricted for reasons including fraud prevention, payment-provider requirements, insufficient funds, technical problems, legal requirements, or other circumstances outside DealerWerx's control. Third-party payment providers may impose their own terms, requirements, verification procedures, limitations, and privacy practices. Where Square marketplace or payment services are used, applicable Square terms may also apply to the relevant payment or marketplace participants.
11. SQUARE AND THIRD-PARTY PAYMENT SERVICES
Where payments on the web are processed using Square or another third-party payment provider, DealerWerx does not control the payment provider's systems. The payment provider may independently perform identity verification, fraud monitoring, payment authorization, transaction processing, settlement, chargeback handling, or regulatory compliance procedures. You agree to comply with applicable third-party payment-provider terms when using those services. DealerWerx may share information with the applicable payment provider as reasonably necessary to process transactions, prevent fraud, perform verification, provide payment services, or comply with legal and regulatory requirements, subject to the DealerWerx Privacy Policy and applicable law. Square's marketplace terms, for example, contemplate disclosure of applicable Square terms and privacy disclosures to marketplace participants and sharing relevant participant information with Square as payment processor.
12. PAYMENTS, SUBSCRIPTIONS, APP STORES AND THIRD-PARTY PAYMENT SERVICES DealerWerx may offer paid services, subscriptions, memberships, listing-related services, transaction-related services, and other paid features through the Platform. Depending on how and where you access or purchase a service, payment may be processed through the DealerWerx website, Apple App Store, Google Play, Square, or another payment service provider. Different terms, billing procedures, cancellation procedures, refund procedures, and payment requirements may apply depending on the platform or payment method used. You agree to comply with the applicable terms and conditions of the relevant platform or payment provider in addition to these Terms.
12.1 Apple App Store and iOS Application
If you download or use the DealerWerx application through Apple's App Store, your use of the application is also subject to Apple's applicable terms and conditions, including the applicable Apple Media Services Terms and Conditions and App Store rules. The DealerWerx application is licensed, not sold, to you. Subject to these Terms, DealerWerx grants you a limited, non-exclusive, non-transferable license to use the DealerWerx application on Apple-branded devices that you own or control, subject to the applicable usage rules of the App Store. You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, decompile, disassemble, attempt to derive the source code of, or create derivative works from the DealerWerx application except to the extent such restriction is prohibited by applicable law or permitted by applicable Apple terms. You acknowledge and agree that these Terms are an agreement between you and DealerWerx and not between you and Apple. DealerWerx, and not Apple, is responsible for the DealerWerx application and its content, subject to applicable law and these Terms. Apple has no obligation to provide maintenance or support services for the DealerWerx application. DealerWerx is responsible for providing applicable maintenance and support for the application. Apple is not responsible for addressing claims relating to the DealerWerx application, including claims relating to product liability, consumer protection, intellectual property, or other matters, except to the extent required by applicable law. You acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of these Terms with respect to your license to use the DealerWerx application and that Apple may enforce the applicable provisions of these Terms against you as a third-party beneficiary. Your use of the DealerWerx application must also comply with applicable third-party terms of agreement, including the terms and conditions applicable to your device, wireless service, and Apple account. DealerWerx's name, address, telephone number, and email address for questions, complaints, or claims relating to the DealerWerx application will be provided through the contact information identified in these Terms. If DealerWerx provides a custom End User License Agreement ("EULA") for the application through the App Store, that EULA will apply to the extent provided and permitted by Apple. If no custom EULA applies, the applicable Apple Standard EULA may govern the license to the application. Apple's applicable licensing requirements include provisions concerning the relationship between the developer and end user, third-party terms, developer contact information, and Apple's status as a third-party beneficiary.
12.2 Apple In-App Purchases and Subscriptions
Where DealerWerx offers subscriptions or other eligible digital purchases through Apple's in-app purchase system, the applicable transaction may be processed through Apple's App Store payment system. Apple may control or administer billing, payment processing, subscription management, cancellation, and refunds for purchases made through Apple's in-app purchase system. Subscriptions purchased through Apple may automatically renew unless cancelled in accordance with Apple's applicable procedures and terms. Users who purchase a DealerWerx subscription through Apple may be required to manage or cancel that subscription through their Apple account or the applicable Apple subscription-management functionality. The terms displayed to you at the time of purchase, together with Apple's applicable terms and these Terms, govern the applicable purchase to the extent permitted by law.
12.3 Google Play and Android Application
If you download or use the DealerWerx application through Google Play, your use of the application is also subject to Google's applicable terms, policies, and requirements governing Google Play and Android applications. The DealerWerx application is licensed, not sold, to you. You must comply with applicable Google Play terms and any applicable third-party terms governing your use of your Google account, Android device, or related services. Where DealerWerx uses Google Play's billing system for an eligible purchase or subscription, the applicable payment may be processed through Google Play. Google may administer billing, payment processing, subscription management, cancellation, and refunds in accordance with its applicable policies and terms. Subscriptions purchased through Google Play may automatically renew unless cancelled in accordance with the applicable Google Play subscription-management procedures. Uninstalling the DealerWerx application does not necessarily cancel a subscription purchased through Google Play.
12.4 Alternative or User-Choice Billing on Google Play
Where permitted by Google Play and applicable law, DealerWerx may offer an alternative or user-choice billing system for eligible users, transactions, or locations. If DealerWerx offers such an option, the applicable purchase may be processed through DealerWerx or another payment provider rather than Google Play. The payment method, billing provider, applicable fees, subscription terms, cancellation procedures, refund procedures, and other applicable conditions will be disclosed as part of the relevant purchase process. Google's requirements for alternative or user-choice billing may vary by country or region and may change from time to time. For example, Google currently provides a user-choice billing program for eligible transactions involving users in India. Nothing in these Terms requires DealerWerx to offer an alternative billing method where it is not required or where DealerWerx has not elected to participate in an applicable program.
12.5 DealerWerx Website and Square Payments
Where DealerWerx accepts payments through its website using Square or another third-party payment provider, the applicable payment may be processed through that provider. You authorize the applicable payment provider to process the payment method you provide for the amount displayed or otherwise authorized during the applicable transaction. Square's applicable terms, payment terms, marketplace terms, and other applicable agreements may apply to transactions processed through Square. Where DealerWerx uses Square's Marketplace Services or other Square services that impose specific requirements on marketplace participants, the applicable Square requirements may also apply. Square's current Marketplace Terms, for example, provide for Square's role in marketplace payment services, payment instructions, marketplace participant onboarding, chargebacks, and certain privacy disclosures. You agree to provide accurate information reasonably required for payment processing, verification, fraud prevention, regulatory compliance, or other applicable payment requirements. Square or another payment provider may decline, delay, reverse, hold, or otherwise restrict a transaction in accordance with its applicable terms, policies, risk controls, or legal obligations. DealerWerx does not control the independent operation of Square or another third-party payment provider.
12.6 Payment Authorization
When you provide a payment method for a transaction, you represent that you are authorized to use that payment method. You authorize DealerWerx and/or the applicable payment provider to charge the applicable amount disclosed to you or otherwise authorized as part of the transaction. You agree not to use fraudulent, stolen, unauthorized, or otherwise unlawful payment information. If a payment fails, is reversed, is declined, or is otherwise not successfully completed, DealerWerx may restrict the applicable service or transaction until the applicable payment obligation has been resolved, subject to applicable law.
12.7 Payment Processing and Third-Party Providers
DealerWerx may use third-party payment processors and other financial service providers to process payments, subscriptions, refunds, transfers, or other financial transactions. Third-party payment providers may have their own terms, privacy policies, verification procedures, security requirements, transaction limits, and dispute procedures. By using a payment method provided through a third-party provider, you agree to comply with the applicable requirements of that provider. DealerWerx is not responsible for a third-party provider's independent systems, availability, policies, decisions, or actions, except to the extent required by applicable law.
12.8 Chargebacks, Payment Disputes and Reversals
If you initiate a chargeback, payment dispute, reversal, or other payment claim concerning a DealerWerx transaction, DealerWerx may investigate the matter and provide relevant transaction information to the applicable payment provider, financial institution, or other authorized party. DealerWerx may restrict or suspend an account or transaction where reasonably necessary to address suspected fraud, payment abuse, unauthorized transactions, or repeated improper chargebacks, subject to applicable law. Nothing in this section limits any rights you may have under applicable consumer-protection or payment laws.
12.9 Subscriptions and Automatic Renewal
DealerWerx may offer subscriptions or memberships that automatically renew for recurring billing periods. Before purchasing a recurring subscription, the applicable purchase process will identify the subscription price, billing frequency, renewal terms, and other material information as required by applicable law and the relevant app-store or payment-provider requirements. Unless otherwise stated, an automatically renewing subscription will continue until cancelled. The applicable subscription price may change from time to time. Where notice or consent is required for a price change, DealerWerx will provide the notice or obtain the consent required by applicable law or the applicable platform rules. Subscription benefits and features may change over time, subject to applicable law and any specific commitments made at the time of purchase.
12.10 Cancellation of Subscriptions
The method for cancelling a subscription depends on where the subscription was purchased.
Apple: Subscriptions purchased through Apple's App Store may generally be managed or cancelled through the user's Apple account and applicable Apple subscription-management tools.
Google Play: Subscriptions purchased through Google Play may generally be managed or cancelled through the user's Google Play account and applicable Google subscription-management tools.
DealerWerx Website: Subscriptions purchased through the DealerWerx website may be cancelled through the applicable DealerWerx account or subscription-management functionality, or through another cancellation method made available by DealerWerx.
Cancelling a subscription generally prevents future renewal but does not necessarily provide a refund for amounts already charged, except where required by applicable law or the applicable platform's refund rules. Deleting the DealerWerx application or closing the application does not necessarily cancel a subscription purchased through Apple or Google.
12.11 Refunds
Refunds are subject to the applicable transaction terms, DealerWerx policies, payment-provider rules, app-store rules, and applicable law. For purchases made through Apple or Google, the applicable app store may administer the refund process in accordance with its applicable policies. For purchases made through the DealerWerx website, refunds may be processed by DealerWerx and/or the applicable payment provider in accordance with the applicable transaction terms. Nothing in these Terms excludes or limits any refund or consumer right that cannot legally be excluded or limited.
12.12 Fees and Taxes
DealerWerx may charge fees for subscriptions, memberships, listings, listing enhancements, promotional services, transaction services, or other features. Applicable fees and taxes will be disclosed through the applicable purchase or transaction process where required by law. Unless otherwise stated, you are responsible for applicable taxes and other charges associated with your use of paid DealerWerx services. DealerWerx may change its fees from time to time, subject to applicable notice and consent requirements.
12.13 Currency and Payment Information
The applicable currency and total amount payable will be displayed during the relevant purchase or transaction process. You are responsible for ensuring that the payment, billing, and account information you provide is accurate and current. Exchange rates, foreign transaction fees, bank charges, card issuer charges, or other fees imposed by your financial institution or payment provider may apply and are outside DealerWerx's control.
12.14 Changes to Payment Providers and Payment Methods
DealerWerx may add, remove, replace, or modify payment processors, payment methods, billing systems, or payment-related features from time to time. The payment methods available to you may vary based on your location, device, operating system, transaction type, applicable law, and other factors. Where a change materially affects an existing subscription or payment obligation, DealerWerx will provide any notice or obtain any consent required by applicable law or the applicable platform rules.
12.15 Third-Party Terms
Your use of Apple, Google, Square, or another third-party payment or distribution service may be subject to separate terms and conditions imposed by that third party. Nothing in these Terms is intended to modify or replace those third-party terms. If a third-party provider imposes requirements applicable to a transaction or service, you agree to comply with those requirements. Where there is a conflict between these Terms and mandatory terms imposed by Apple, Google, Square, or another applicable third-party provider, the mandatory third-party requirements will apply to the extent necessary for the applicable service or transaction.
13. FEES, TAXES AND CHARGES DealerWerx may charge fees for:
- memberships;
- subscriptions;
- listing services;
- listing enhancements;
- promotional services;
- Consignment;
- transaction services;
- payment-related services;
- or other features.
Applicable fees will be presented to you before you incur them where required by law. Unless expressly stated otherwise:
- fees are in the currency displayed at checkout;
- applicable taxes may be added;
- fees may be changed prospectively;
- promotional pricing may be subject to additional conditions; and
- fees are non-refundable except where required by law or expressly stated otherwise.
DealerWerx may restrict access to paid services if a payment fails or amounts remain unpaid.
14. REFUNDS, CANCELLATIONS AND CHARGEBACKS
Refunds are subject to the applicable transaction, Consignment, subscription, payment-provider, and legal requirements. DealerWerx may issue refunds where DealerWerx determines that a refund is appropriate or where required by applicable law. If you initiate a chargeback or payment dispute, DealerWerx may investigate the transaction and provide relevant transaction information to the applicable payment provider or financial institution. Fraudulent or abusive chargebacks may result in account restrictions or termination, subject to applicable law. Nothing in these Terms limits mandatory consumer rights that cannot legally be waived.
15. REVIEWS, COMMENTS AND USER CONTENT
Users may submit listings, photographs, videos, reviews, ratings, comments, messages, suggestions, ideas, questions, feedback, and other materials ("User Content"). You remain responsible for your User Content. You represent and warrant that:
- you own or have the necessary rights to submit the User Content;
- the User Content is accurate to the extent it contains factual claims;
- the User Content does not unlawfully infringe another person's rights;
- you have obtained required permissions for people, property, trademarks, or other protected material appearing in the User Content; and
- the User Content complies with these Terms and applicable law.
You grant DealerWerx a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, reproduce, display, distribute, adapt, modify, format, translate, promote, and otherwise use your User Content as reasonably necessary to operate, improve, market, secure, and provide the Platform and its services. This license continues for as long as reasonably necessary for those purposes, subject to applicable law and our Privacy Policy. DealerWerx may remove, restrict, modify, or refuse to publish User Content where DealerWerx believes it violates these Terms, applicable law, or the safety or integrity of the Platform. DealerWerx does not undertake to review every piece of User Content before publication and does not guarantee the accuracy of User Content submitted by users.
16. REVIEWS AND RATINGS
Reviews and ratings must represent genuine experiences. You must not:
- submit fraudulent reviews;
- review a transaction in which you did not participate;
- manipulate ratings;
- offer compensation for misleading reviews;
- threaten another user to obtain a favorable review;
- impersonate another person in a review; or
- use reviews to promote unrelated commercial content.
DealerWerx may remove reviews that violate these Terms or applicable policies.
17. MESSAGING AND COMMUNICATIONS
DealerWerx may provide one-to-one chat, messaging, notifications, email, SMS, or other communication functionality. Users must use communication features lawfully and respectfully. You must not use DealerWerx communications to:
- harass or threaten another person;
- distribute spam;
- distribute malware;
- impersonate another person;
- solicit prohibited transactions;
- conduct fraud;
- collect personal information without authorization; or
- circumvent DealerWerx restrictions or fees.
DealerWerx may retain, process, review, moderate, or disclose communications where reasonably necessary to provide the service, investigate abuse or fraud, protect users, enforce these Terms, or comply with law, subject to applicable privacy requirements. Users should not assume that communications sent through DealerWerx are completely private from DealerWerx.
18. MAPS, LOCATION AND LOCATION-BASED SERVICES
DealerWerx may provide maps, location-based search, approximate locations, meeting locations, distance calculations, directions, or related services. Location information may be provided by DealerWerx, third-party mapping providers, device services, or other sources. Map and location information may be inaccurate, incomplete, delayed, or unavailable. DealerWerx does not guarantee the accuracy, safety, suitability, accessibility, or availability of any location displayed through the Platform. You are responsible for verifying important location information before relying on it. Use of location services may require your device to provide location information and may be subject to your device and operating-system permissions. Additional information regarding personal information and location data is provided in the DealerWerx Privacy Policy.
19. ELECTRONIC COMMUNICATIONS
When you use DealerWerx, communicate with us electronically, create an account, or use our services, you consent to receive electronic communications from DealerWerx where permitted by law. These communications may include:
- account notifications;
- transaction confirmations;
- payment receipts;
- security alerts;
- service notifications;
- messages from other users;
- subscription notifications;
- legal notices; and
- other communications necessary to provide the Platform.
Electronic communications may satisfy legal requirements that communications be provided in writing where permitted by applicable law. Marketing communications will be handled in accordance with applicable law and the user's available communication preferences.
20. PRIVACY

The Privacy Policy explains how DealerWerx collects, uses, stores, shares, and protects personal information and other information associated with your use of the Platform. Please review the Privacy Policy here: DealerWerx Privacy Policy The Privacy Policy forms part of the overall terms governing your use of the Platform to the extent stated in that policy.

24. LISTING DISTRIBUTION AND DEALERWERX NETWORK
DealerWerx may, where appropriate, display, distribute, promote, syndicate, or make listings available through DealerWerx-operated websites, applications, services, partners, advertising channels, search services, or other distribution channels. By submitting a listing, you authorize DealerWerx to use the listing information, photographs, descriptions, and related User Content for those purposes. DealerWerx may remove or restrict distribution of a listing if it violates these Terms, applicable law, or applicable DealerWerx policies.
25. PRODUCT DESCRIPTIONS AND USER-PROVIDED INFORMATION
DealerWerx attempts to provide a useful and reliable Platform but does not guarantee that information supplied by users or displayed through the Platform is:
- accurate;
- complete;
- current;
- reliable;
- error-free;
- authentic;
- suitable for a particular purpose; or
- available at all times.
You should independently verify important information before completing a transaction. DealerWerx is not responsible for inaccuracies in User Content except where responsibility cannot legally be excluded.
26. RISK OF LOSS, DELIVERY AND POSSESSION
Unless DealerWerx expressly agrees otherwise in writing, the seller and buyer are responsible for agreeing upon and completing delivery, pickup, possession, inspection, title transfer, and other fulfillment arrangements. Risk of loss, damage, or theft may depend upon the applicable transaction, delivery arrangement, Consignment agreement, and applicable law. Nothing in these Terms transfers title or risk of loss unless the applicable transaction expressly provides for such transfer. For DealerWerx Consignment transactions, the applicable Consignment terms will govern possession, delivery, payment, risk of loss, and related matters.
27. TAXES
Users are responsible for determining and satisfying their tax obligations arising from their use of DealerWerx, including obligations relating to sales, purchases, income, business activities, or other transactions. DealerWerx may collect, calculate, report, or remit taxes where required by law. DealerWerx does not provide tax, accounting, or legal advice.
28. PLATFORM AVAILABILITY

DealerWerx may perform maintenance, updates, security changes, or other technical work that temporarily affects availability.

DealerWerx is not responsible for resolving every dispute between users. Users should attempt to resolve transaction disputes directly where appropriate. DealerWerx may, but is not required to, assist with disputes, investigate reported conduct, restrict accounts, remove listings, or take other action under these Terms. DealerWerx's decision to assist in a dispute does not make DealerWerx a party to the underlying transaction unless DealerWerx expressly agrees otherwise.
34. GOVERNING LAW
These Terms are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of-law principles, except to the extent that mandatory laws applicable to a user cannot legally be excluded.
35. DISPUTE RESOLUTION
Before commencing formal proceedings concerning a dispute with DealerWerx, the parties should make reasonable efforts to resolve the matter through DealerWerx customer support. Any formal dispute-resolution mechanism, arbitration requirement, court jurisdiction, or class-proceeding limitation applicable to these Terms will be subject to applicable law and any mandatory consumer rights. Nothing in these Terms prevents a consumer from exercising rights that cannot legally be waived.
36. MODIFICATION OF THESE TERMS
DealerWerx may update these Terms from time to time. When we make changes, we may update the "Last Updated" date and provide additional notice where required by law. Material changes may be communicated through the Platform, email, account notification, or another reasonable method. If you do not agree to updated Terms, you must stop using the affected services.
37. SEVERABILITY
If any provision of these Terms is determined to be invalid, unlawful, or unenforceable, that provision will be interpreted or modified to the minimum extent necessary to make it enforceable where legally permitted. If it cannot be made enforceable, it will be severed from these Terms without affecting the remaining provisions.
38. NO WAIVER
DealerWerx's failure to enforce any provision of these Terms does not constitute a waiver of that provision or DealerWerx's right to enforce it later.
39. ASSIGNMENT
You may not assign or transfer your rights or obligations under these Terms without DealerWerx's prior written consent. DealerWerx may assign or transfer these Terms or its rights and obligations in connection with a merger, acquisition, restructuring, sale of assets, corporate reorganization, or other business transaction, subject to applicable law.
